Provide legal due diligence report

In a Mergers and Acquisitions (“M&A”) transaction, one of the most important factors that contributes to the success rate of a transaction is to cooperate with a reliable business partner. It not only directly leads to the success of an M&A transaction, but also affects the business activities and cooperation of the parties in long term. Our team at DIMAC are aware of the important of a Legal Due Diligence in an M&A transaction. As such, we are always attentive and meticulous in providing this service to our Clients to ensure the merits of their business partner and the projects that the Clients are interested in and to advise the Clients on the risk management mechanism.

In specific, our services include the followings:

• Collect and review the company incorporation documents, internal documents, agreements, contracts, financial statements and tax documents, documents related to the intellectual properties, documents related to any dispute and litigation, important licenses, permits, certificates… as provided by the Clients, or otherwise obtained from other official sources;
• Attend meetings with the Clients and business partners to interview or discuss any unclear issues;
• Provide the Legal Due Diligence Report stating the legal issues and suggestion, recommendations to the Clients to complete the M&A transactions;
